These terms and conditions ("terms and conditions") constitute a legally binding agreement between you, ("you") the visitor to our site and/or client willing to purchase our service(s) or existing clients receiving our service(s) and Business Directory App, hereby referred to as BDA (trading name of StickyWeb Technologies Limited).
By accessing BDA and using any of its functions and services you must first read and agree to be bound by the terms and conditions contained in this agreement. Should you not agree to be bound by each and every term and condition contained in this agreement, you must leave this site promptly.
These terms and conditions, state the entire agreement between you and BDA. The service plan order will form the part of the "agreement" only if has been acknowledged by BDA in writing or by an e-mail. You must agree to the terms and conditions in order to be eligible to use the BDA website portal, mobile application listings or other related offerings (defined below), or obtain services (defined below).
"Listing" means the advertising your business details on our website, mobile apps and other suitable promotional inserts.
"Order or Subscription" means your authorisation and acceptnce of our service either in writing, verbally or online, as described above.
"Updates" means any change to the details, or the contents of a Listing.
"Business Classification" means a particular category of the directory in which your listing is published.
"Directory" means any electronic or printed publication by us where your business listing is advertised
"Services" refer to the listing, insertion, promotion, advertising or other related services performed by us in order to promote your business.
"We / Us / Company" refers to Sticky Web Technologies Limited, a company registered in England and Wales.
"You" means any authorised individual, company or organisation who agrees to these terms and conditions and makes a purchase of our services.
SUBSCRIPTION BASED PLANS
"Subscription Based Plans" are tenured Subscription plans offered by BDA that are active for a specified period and will not include any one off plans such as "Lifetime Plan" or the like. You make a monthly payment for the service which lasts for as long as you wish to be listed on our directory and avail our services. The payment is automatically repeated unless the customer proactively wants to stop or suspend the subscription.
"SERVICES" AND "BDA WEBSITE"
All references to "Services" refer to a BDA service plan that you have agreed to purchase via the BDA website These Terms and Conditions govern all service plans available through the BDA website, and any use of the BDA website.
"Materials" means any web casts, download areas, white papers, press releases, datasheets, FAQs, product information, quick reference guides, or other works of any kind that are made available to download from the I BDA website are the proprietary and copyrighted work of BDA and/or its suppliers. The definition of "Materials" does not include the design or layout of the BDA Web site or any other BDA owned, operated, licensed or controlled site.
"Software" means a listing program of any kind, whether owned by BDA or a third party, whether delivered via download, CD, other media, or other delivery method, including client and/or network security software. Elements of the software are protected under copyright, trade secret, unfair competition, and other laws.
You may order 'services' by submitting a service request through the BDA website or by phoning BDA. Once BDA accepts the service submitted by you, you will receive a confirmation email from BDA to the email address that you have provided or have provided to BDA as part of the registration process for the services. BDA is not responsible for rendering services in connection with any service plan order that it has not accepted.
You will be able to receive the service from your chosen services plan once you have made a full payment for the service plan or agree to make the payment on a monthly basis as relevant to the subscription chosen by you.
Each service plan has fee to be paid. This fee will only be refunded should you request a refund under 14 day money back guarantee in writing via post or email. No refund will be granted beyond the 14 days. You may email your refund requests to firstname.lastname@example.org or by post to Business Directory App, 132 Waverly Crescent, Livingston, West Lothian, EH54 8JR, United Kingdom.
Furthermore, you will only receive a refund providing you meet the required qualifying criteria.
You agree, as our client, to be financially responsible for all services rendered. You also agree to refrain from requesting "charge-backs" or cancelling any fees or service charges paid for with your debit card, bank account, cash, credit card or any other credit card or payment tool, media, method, system you have used or authorized to use, after using our services.
When you purchased the Service, you agreed to specific price and plan, which may have included a term of one month, one year, two years, three years or even a lifetime plan ("Term Plan"). Similarly, some plans may offer a discount on the Service if you sign up for other BDA services ("Bundle Discount"). You agree to maintain your Service and the bundled services for the applicable term. If you signed up for a Term Plan or a Bundle Discount, the price available with those plans is valid until one of the following occurs: (1) the term expires; (2) you drop one of the BDA services you were required to purchase to receive the special rate; or (3) You terminate the agreement/Service before the expiry of the term.
Credit Card Billing. You may be asked to provide us with a credit card number from a card issuer that we accept in order to activate your Service. You hereby authorize BDA to charge and/or place a hold on your credit card with respect to any unpaid charges for Services or any related equipment. You authorize the issuer of the credit card to pay any amounts described herein without requiring a signed receipt, and you agree that these charges are to be accepted as authorization to the issuer of the credit card to pay any amounts described herein without requiring a signed receipt, and you agree that these charges are to be accepted as authorization to the issuer of the credit card to pay all such amounts. You authorize I BDA and/or any other company who bills products or services, or acts as billing agent for I BDA to continue to attempt to charge and/or place holds with respect to all sums described herein, or any portion thereof, to your credit card until such amounts are paid in full. You agree to provide BDA with updated credit card information upon BDA request and any time the information you previously provided is no longer valid. You acknowledge and agree that neither I BDA nor any I BDA affiliated company will have any liability whatsoever for any non-sufficient funds or other charges incurred by you as a result of such attempts to charge, and/or place holds on, your credit card. If you mistakenly provide a debit card number, instead of a credit card number, you authorize all charges described herein to be applied to such debit card unless and until you provide a credit card number. In the event you are enrolled, or later enrol, in an automatic payment or electronic funds transfer plan, you agree that all sums described herein may be charged, at I BDA option, to the account number provided for such automatic payment or electronic funds transfer plan. When payment is made by credit card or debit card, payment will also be subject to the terms and conditions established by the credit or debit card issuer. If charges cannot be processed through your credit card, or if your bank draft or electronic funds transfer is returned for insufficient funds, we will charge you an additional 15 GBP.
If you are dissatisfied with the services, you must submit your complaint in writing within seven calendar days of the service being performed otherwise you expressly relinquish any ability to dispute the quality of service and any related refusal to pay our service and related charges. We will act in response to your written complaint as soon as we are able to and will endeavour to resolve the issues regarding your complaint. All complaints that are not resolved will be resolved by mandatory, binding arbitration as set forth herein.
Please go through the under mentioned terms on cancellation of services with us.
1. You have the right to cancel your services with us in we are unable to list your business as promised by us within 5 working days of you purchasing the services.
2. You have the right to cancel if you are dissatisfied with the work performed. You must submit your complaint in writing within seven calendar days of the service being performed otherwise you lose the right to dispute the quality of services delivered and any related refusal to pay our service and any other related charges.
3. You may not cancel the services if you have not allotted the required time for our staff to properly deliver the promised services.
4. You may not cancel the services if our staff are unable to provide any item or activity not covered by the terms of a particular Plan Order.
5. Once you have stated clearly that your listing is working fine and you are happy with everything, including the payment initiated by you, you cannot cancel our services under any circumstances.
6 We may cancel your listing and end the services withouy any notice period, should you fail to pay the service charges as and when they become due or should the service charges become outstanding over a considerable period of time.
Your listing would automatically be renewed at the end of the Subscription Term, unless otherwise agreed or requested. This is to ensure that your listing is always active and you never loose any potential business arising from the Directory App
We aim to constantly improvise our product offerings and listing services, as a result of which, we may launch newer versions or strategies of marketing, promoting or advertising your business. This may include any change in the design, look and feel, format or appearance of the mobile application, website or printed publication. You would not be charged for renewing your versions, as the app is free to download.
As soon as we recei ve your payment, we will list your business after reviewing your details. We may contact you to discuss your listing, should we need more information. Once contact has been made and if it is convenient for you we will activate the listing at the earliest. If it is not convenient for you for us to start the listing immediately we will arrange a suitable date and time for this to be done. This is how we DELIVER our services.
For service based plans, a full refund will be issued if BDA has not been able to list your business within the first 5 days after payment or if you wish to cancel the service within the first 14 days cooling off period.
No refund will be granted beyond the 14 days. You may email your refund requests to email@example.com or by post to Business Directory App, 132 Waverly Crescent, Livingston, West Lothian, EH54 8JR, United Kingdom.
We shall not be liable in respect of any breach of any Contract due to any cause beyond our reasonable control.
LIMITATION OF LIABILITY
Notwithstanding anything to the contrary in no event shall BDA be liable to you in excess of the amounts actually paid by you to BDA under the Plan Order that is the subject of the dispute. LIMITATIONS ON ACTIONS
Any cause of action by you must be commenced within one (1) year after the cause of action arose or it shall be forever waived and barred. NO OFFER The BDA Portal is available internationally and may contain references to BDA products, services, and programs that are not available in a viewer's country.
